Terms of Service

1. About these Terms

These Terms of Service ("Terms") govern your use of the platform and services of Wemany Inc., a Delaware corporation ("WEMANY", "we") (together, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

2. Description of the Service

WEMANY offers an online platform to create, manage and take part in digital communities, including:

• Community creation and management tools.
• Participation and gamification features.
• The WeMatch validation and reputation system and the Mission Score.
• Facilitation of payment processing for memberships, courses and events.
• Content hosting and publishing.
• Live streams (Lives): functionality for creators and members to run and join real-time video and audio streams inside communities.
• Mobile app: the Service is available through mobile applications for iOS and Android, with features equivalent or complementary to the web version.

Mobile app and permissions

The WEMANY mobile app may request access to features of your device to enable specific parts of the Service:

• Camera: for live streams, video recording, profile photo and QR code scanning.
• Microphone: for live streams, audio recording and voice messages.
• Location: for optional features such as nearby in-person events or attendance verification (only when you expressly turn it on).
• Push notifications: for activity alerts, messages, live events, community updates and platform communications.
• Storage: to save downloaded content and media files.

You can manage these permissions from your device settings (iOS/Android) at any time. Denying a permission may limit certain features but does not prevent general use of the app.

WEMANY acts as a facilitator: creators are the sellers and are responsible to their members for the content and services they offer.

3. Eligibility and account

Age

• You must be at least 13 years old to use the Service.
• Users aged 13 to 17 require the consent of a parent or legal guardian, who is responsible for their compliance with these Terms.
• Features restricted to 18+ (or 16+ with guardian consent): payments and wallet, connection of external accounts, WeMatch, Mission Score based on external data and the public reputation profile. Minors may not connect external accounts or use WeMatch.

Registration

• You must provide truthful, current and complete information.
• You are responsible for the security of your credentials.
• You may not transfer or share your account.
• A person or entity may not hold multiple accounts without our consent.

Entities

• If you register on behalf of a company, you represent that you are authorized to bind it.

Buyer accounts created at the time of purchase

When you make a purchase on the platform (membership, course, event or other digital product) without a prior account:

• Automatic creation: when the transaction is completed, a WEMANY account is automatically created and linked to the email address you provide during checkout. This account lets you access the content or service you purchased.

• Consent: by completing the purchase you accept these Terms of Service, the Privacy Policy and the applicable Transaction Terms, and you consent to the creation of your account.

• Activation: you will receive an email with instructions to set your password and access your account. Until you activate it, your account remains "pending activation", but you can access the purchased content through the link sent to your email.

• Required information: you will provide at least your email address and, depending on the payment method, your name and billing details. This information is used to create your account and process the transaction.

• Existing accounts: if the email you provide is already associated with a WEMANY account, the purchase is linked to that existing account; no duplicate is created.

This feature is available to people over 13 years of age. Buyers under 18 require the consent of a parent or legal guardian, who is responsible for compliance with these Terms.

4. User conduct

You agree to use the Service lawfully, respect others, provide truthful information, comply with the law and respect third-party intellectual property. You may not harass or harm others; post illegal, harmful or offensive content; deceive or defraud; access our systems without authorization; use automated tools to extract data; or interfere with the operation of the Service. See the Acceptable Use Policy.

5. Community creators

As a creator, you are responsible for administering and moderating your community in accordance with these Terms and policies, for delivering what you promise to your subscribers, for communicating your refund policy and for meeting your tax obligations. Details are in the Community Creator Terms.

5.1 Ambassador Program

WEMANY offers an Ambassador Program that allows qualified users to refer new communities to the platform and receive commissions on the transactions generated by those communities. Ambassadors currently receive a commission of 2% of the transactions of the communities they refer, for life while those communities remain active.

Participation in the Program is subject to the Ambassador Program Terms, which complement these Terms of Service. WEMANY reserves the right to modify the Program's conditions, including commission percentages, with 30 days' prior notice. Communities referred before any modification will continue to generate commissions under the terms in force at the time of the referral.

6. Data and privacy

• WeMatch: when you connect external accounts, WEMANY accesses and analyzes associated data to validate achievements, in accordance with the WeMatch Policy and only for adults as set out in Section 3.
• Roles: WEMANY acts as controller for WeMatch, the Mission Score and the public profile; with respect to data a creator manages within their community, WEMANY acts as the creator's processor (see the Privacy Policy and the Data Processing Addendum).
• Your content: you retain ownership; you grant us the license described in Section 8.
• We process your data in accordance with the Privacy Policy.

7. Payments and billing

• Payments are processed through partner processors; funds are held within their infrastructure and not in WEMANY's own accounts.
• Subscriptions renew automatically unless cancelled.
• WEMANY charges a platform fee of 10% per transaction.
• Fees may be updated with 30 days' notice.
• Refund policies are set by creators, subject to the 7-day guarantee on WEMANY courses and to mandatory consumer rights. Excessive chargebacks may lead to account suspension. Details in the Transaction Terms.

8. Intellectual property

• Platform: WEMANY owns the rights to the platform, the software and its distinctive signs, including the WEMANY, WeMatch and Mission Score trademarks. They may not be used without authorization.
• User content: you retain ownership of your content and grant WEMANY a worldwide, non-exclusive, royalty-free license to host, store, reproduce and display it for the purpose of providing the Service. You represent that you have the necessary rights to what you post.
• DMCA: we respond to valid takedown notices for copyright infringement; repeat infringers may be permanently excluded.

9. Privacy and data protection

Your privacy matters. Review the Privacy Policy to learn how we collect, use and protect your information. By using the Service, you accept the data practices described there.

10. Disclaimers and limitation of liability

Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Assumption of risk

BY USING THE SERVICE, YOU ACKNOWLEDGE AND AGREE THAT YOU DO SO AT YOUR OWN RISK AND RESPONSIBILITY. WEMANY IS A TECHNOLOGY FACILITATOR; WE ARE NOT A PARTY TO TRANSACTIONS BETWEEN USERS, NOR DO WE GUARANTEE THE CONDUCT, TRUTHFULNESS OR PERFORMANCE OF ANY USER, CREATOR OR AMBASSADOR.

Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY FOR CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM, WITH A MINIMUM OF USD 100.

WE ARE NOT LIABLE FOR:

• Direct, indirect, incidental, consequential or punitive damages of any kind.
• Loss of profits, data, business opportunities or investments.
• Acts of third parties, community creators, ambassadors or other users.
• The use third parties make of a badge, role, achievement or Mission Score, or fraudulent use of the verification system.
• Scams, fraud, pyramid schemes, deception or hoaxes perpetrated by users, creators or third parties on the platform.
• Content, advice, courses, information or recommendations posted by users or creators, including their truthfulness, legality, quality or results.
• Failure to deliver promises, products or services offered by creators.
• Financial losses or decisions made on the basis of platform content.
• Disputes between users, between members and creators, or with third parties.
• Content of live streams (lives) run by users or creators.

Nothing above limits rights that the law grants consumers on a mandatory basis.

11. Indemnity

You agree to defend, indemnify and hold harmless WEMANY and its officers, employees and agents from claims, damages or expenses arising from your use of the Service, your breach of these Terms, your violation of third-party rights or the content you post.

12. Termination

By you

• You may terminate your account at any time by following the deletion process. Paid subscriptions continue until the end of the billed period unless cancelled.

By WEMANY

• We may suspend or terminate accounts for violations of these Terms, and modify or discontinue the Service with reasonable notice. After termination, the clauses that by their nature should survive will survive.

13. Dispute resolution

Informal resolution

Before any legal claim, you agree to try to resolve the dispute by contacting us at legal@wemany.com.

Arbitration and class action waiver

To the extent permitted by law, disputes that are not resolved informally will be submitted to binding individual arbitration, administered under the rules of the American Arbitration Association (AAA) or a similar provider agreed by the parties.

Class action waiver: you agree that you may NOT bring or take part in claims as a plaintiff or member of a class action, collective action, class arbitration, representative action or any consolidated proceeding against WEMANY. Only individual dispute resolution is permitted. This waiver applies to all claims, past, present and future.

This waiver does not prevent you from filing individual complaints with government agencies that allow it.

Consumer safeguard (prevails)

The above does not apply where the mandatory consumer law of your country prohibits it. If you reside in Colombia, the European Union or another jurisdiction whose law gives you the right to go to its authorities or courts, or not to submit to arbitration or class waivers, you keep those rights and they prevail over this Section.

14. Governing law

These Terms are governed by the laws of the State of Delaware (USA), without regard to conflict-of-law rules, and proceedings will be brought before the courts of Delaware, unless the mandatory law of your country of residence provides otherwise for consumers, in which case those rules and forums apply.

15. General provisions

• Changes: we may update these Terms; significant changes are announced through the platform or by email; continued use constitutes acceptance.
• Severability: if a clause is found invalid, the rest remain in force.
• Entire agreement: these Terms, together with the Privacy Policy and the other referenced policies, constitute the entire agreement between you and WEMANY.
